Customer Representations, Warranties, and Indemnification
Representations and Warranties. By using the Services, Customer represents and warrants that: (a) Customer owns, or holds all necessary licenses, consents, and authorizations for, all content Customer broadcasts, streams, uploads, or otherwise transmits through the Services; (b) Customer's use of the Services will not infringe, misappropriate, or violate any third party's intellectual property, publicity, privacy, or other rights; and (c) Customer will maintain any performance, mechanical, synchronization, or other royalty licenses or regulatory approvals required for its content, including any applicable SoundExchange, ASCAP, BMI, SESAC, or similar licensing.
Indemnification. Customer agrees to indemnify, defend, and hold harmless Rogue StreamWorks LLC, its members, managers, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, penalties, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer's breach of the representations and warranties in this section; (b) Customer's content or Customer's failure to obtain or maintain required licensing; or (c) Customer's violation of these Terms or applicable law. The Company reserves the right, at Customer's expense, to assume exclusive defense of any matter otherwise subject to indemnification by Customer, in which case Customer agrees to cooperate with the Company's defense.
Payment and Billing
Rogue StreamWorks may utilize automated systems for invoicing, billing, and payment collection. Payments may be accepted through approved third-party payment providers. Accounts become active upon successful payment processing. Billing is generally processed on a recurring monthly basis every 30 days unless otherwise specified. Customers may choose to enable automatic payments when available. Invoices are generally issued approximately 7 business days prior to the payment due date and are delivered electronically through the email address associated with the account. If payment is declined, additional payment attempts may be made. Accounts with unresolved billing issues may be temporarily suspended until payment is received.
Cancellation and Refunds
Customers may cancel their account at any time. Upon account cancellation or termination, hosted content and uploaded materials may be removed from Rogue StreamWorks systems. Unless otherwise stated in writing, payments are non-refundable.

Intellectual Property
The Rogue StreamWorks name, logo, website, platform software, streaming infrastructure, and all associated branding, content, and configurations ("Company IP") are and remain the sole property of Rogue StreamWorks LLC. These Terms do not grant Customer any ownership interest in Company IP. The parties shall first attempt in good faith to resolve any dispute through informal negotiation. Any dispute not resolved informally within thirty (30) days shall be brought exclusively in the state or federal courts located in Michigan, and Customer consents to personal jurisdiction and venue there.
Changes to These Terms
Rogue StreamWorks may update these Terms from time to time. Material changes will be communicated to active Customers through the email address on file or a notice on the Company's website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
General Provisions
Entire Agreement. These Terms, together with any order form, invoice, or service package description, constitute the entire agreement between Customer and Rogue StreamWorks regarding the Services and supersede all prior agreements or understandings, written or oral.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. No waiver of any provision of these Terms shall be effective unless in writing, and no waiver shall constitute a continuing waiver of future breaches.
